Recently, Nanya New Material disclosed an announcement stating that to deepen its global strategic layout, enhance the company's comprehensive competitiveness and international influence, and expand diversified financing channels, the company is planning to issue overseas shares (H-shares) and list on the Hong Kong Stock Exchange.
Nanya New Material stated that, as of now, the company is discussing relevant work regarding this H-share issuance and listing with related intermediary institutions, and specific details have not yet been finalized.
Founded in Nanxiang, Jiading District, Shanghai in 2000, Nanya New Material is a high-tech enterprise in China specializing in the design, R&D, manufacturing, and service of composite materials and their products such as copper-clad laminates (CCL) and bonding sheets. The company's products are widely used in end-use fields including consumer electronics, computers, communications, data centers, automotive electronics, security, aerospace, and industrial control, forming a business structure centered on CCL industry manufacturing and solution provision.
With its Shanghai headquarters as the hub, Nanya New Material radiates a global production base network covering Ji'an in Jiangxi, Nantong in Jiangsu, and Thailand, encompassing the complete industrial chain from R&D to high-end manufacturing. The company's sales and service network covers the globe, committed to providing high-quality services to customers worldwide.
Copper-clad laminate is the core material for manufacturing printed circuit boards (PCBs), which serve as the carrier for electrical connections between electronic components. Copper-clad laminates and PCBs are indispensable critical components in modern electronic information products, widely applied in end-use fields such as consumer electronics, computers, communications, data centers, automotive electronics, aerospace, and industrial control.
Through development over recent years, Nanya New Material has mastered core technologies in special copper-clad laminate fields such as high-frequency and high-speed applications, including high-frequency and high-speed formula technology, ultra-thin copper-clad laminate production technology for high-speed products, and thickness uniformity improvement technology for high-frequency products.
The company's high-frequency and high-speed products are widely applied in fields such as 5G communications and servers. All series of the company's high-speed products have obtained certifications from PCB customers such as Shennan Circuits, WUS Printed Circuit, Victory Giant Technology, Shengyi Electronics, Kinwong Electronic, and Oushikang, as well as key terminal customers, achieving scaled production. Currently, the production and sales volume of Nanya New Material's high-frequency and high-speed products are in a phase of rapid growth, generating favorable economic benefits.
Simultaneously, Nanya New Material is also stepping up capacity deployment to match downstream demand. In July this year, Nanya New Material announced that, based on overall strategic layout and operational development needs, to accelerate capacity planning and industrial deployment, it intends to invest in constructing a project for the R&D and industrialization of high-end copper-clad laminates with an annual output of 14 million square meters, with a total investment of approximately CNY 790 million. This project will be implemented by the company's wholly-owned subsidiary, Nanya New Material Technology (Jiangxi) Co., Ltd.
According to reports, the products from this expansion project primarily target servers, automotive safety components and intelligent driving, AI smartphones and high-end smart terminals, and smart wearables, aligning with the company's medium-to-long-term strategy for high-end electronic substrates. Nanya New Material stated that after the project goes into operation, it will fill the gap in the company's high-end product capacity, achieve scaled mass production of self-developed new processes and products, continuously solidify core technical barriers, break through bottlenecks in key material technologies, optimize the product profit structure, and enhance the stability of operating performance; meanwhile, leveraging the advantage of scaled capacity, the company can continuously increase its market share in the global high-end copper-clad laminate sector, comprehensively strengthening its comprehensive competitiveness and industry voice within the global electronic substrate supply chain.
In addition to this expansion, the company is simultaneously advancing private placement matters to consolidate its high-end copper-clad laminate capacity matrix.
According to previously disclosed investor relations activity records, the company has received approval from the China Securities Regulatory Commission (CSRC) for the registration of issuing shares to specific targets. The funds raised from this issuance will be used to construct projects for the R&D and industrialization of advanced high-frequency and high-speed copper-clad laminates based on AI computing power, and to supplement working capital. Upon completion, the projects will enable an annual production capacity of 7.2 million pieces of advanced high-frequency and high-speed copper-clad laminates and 16 million meters of bonding sheet products, with trial operations expected to begin by the end of Q3 2027.
Nanya New Material stated that the products from the private placement fundraising project and the proposed investment construction project will form a coordinated layout with complementary high-low tiers and categories, jointly perfecting the company's full-category capacity matrix for high-end copper-clad laminates.
Dense capacity expansion and capital operations are built upon strong fundamental performance. According to the recently released Q3 2026 Report, the company's revenue for the third quarter was CNY 3.54 billion, a year-on-year increase of 160.62%; net profit attributable to shareholders of the listed company was CNY 990 million, a year-on-year increase of 1295.94%. Revenue for the first three quarters was CNY 7.764 billion, a year-on-year increase of 111.93%; net profit attributable to shareholders of the listed company was CNY 1.451 billion, a year-on-year increase of 817.72%.
The announcement noted that the performance growth was mainly driven by factors such as the explosion in AI computing power, placing the copper-clad laminate industry in a period of high prosperity. Leveraging its excellent product technology and customer resources, the company continued to optimize its product structure, resulting in simultaneous increases in volume and price for main products, with continuous improvement in overall gross margin levels.
