Regulatory filings show that Cursor will be paid in stock, without utilizing the proceeds from SpaceX's IPO. The transaction is expected to be completed in the third quarter of 2026. The amount for SpaceX's acquisition of Cursor is calculated at $60 billion (approximately RMB 405.6 billion) based on Cursor's implied equity value. According to the regulatory filings, if the agreement is terminated under specific circumstances, SpaceX will pay a termination fee of $10 billion (approximately RMB 67.6 billion). The documents also state that if the deal fails due to antitrust issues, SpaceX will pay a "regulatory" termination fee of $4 billion (approximately RMB 27 billion).
- Cursor, formerly Anysphere was co-founded in 2022 by Michael Truell, Sualeh Asif, Arvid Lunnemark, and Aman Sanger while they were studying at the Massachusetts Institute of Technology (MIT). All four co-founders were born in the 2000s. Its product, Cursor, is a star AI coding tool for software developers, launched in 2023. It provides features such as code generation, auto-completion, error debugging, codebase Q&A, and agentic coding while developers write code, helping programmers understand projects, write code, and fix issues faster.
The addition of Cursor will undoubtedly enhance Musk's Grok in terms of coding capabilities. Since its founding in 2022, Cursor has completed multiple rounds of financing in less than four years, raising a total of approximately $3.4 billion, specifically as follows:
- Completed a $400,000 Pre-Seed round in April 2022;

If the financing is completed, Cursor will become one of the highest-valued developer tool companies globally.
On April 22 this year, SpaceX's official X account posted that later this year, it might acquire Cursor for $60 billion (approximately RMB 405.6 billion) or pay $10 billion (approximately RMB 67.6 billion) for a partnership between the two parties.
