Southchip Secures Registration for RMB 1.93B Convertible Bond Issuance to Advance PMIC, Automotive and Industrial Chip R&D

by zhangtongshe·May 25, 2026

Recently, the official website of the Shanghai Stock Exchange revealed that the application by Southchip Semiconductor Technology Co., Ltd. (hereinafter referred to as "Southchip") for the issuance of convertible corporate bonds to unspecified investors has been registered and has taken effect.

The total funds raised in this issuance will not exceed RMB 1,933.3811 million. The net proceeds, after deducting issuance costs, will be invested in the R&D and industrialization project of PMIC (Power Management IC) for intelligent computing, the R&D and industrialization project of automotive chips, and the R&D and industrialization project of sensors and control chips for industrial applications.

Founded in 2015 in Zhangjiang, Shanghai, Southchip is one of the leading domestic analog and embedded IC (Integrated Circuit) design companies. The company focuses on three major fields: high-end consumer electronics, automotive electronics, and industrial power supplies.

The announcement shows that the fund-raising projects for this issuance of convertible corporate bonds to unspecified investors include the R&D and industrialization project of PMIC for intelligent computing, the R&D and industrialization project of automotive chips, and the R&D and industrialization project of sensors and control chips for industrial applications.

The R&D and industrialization project of PMIC for intelligent computing will be based on the company's existing PMIC product technology to solve technical issues such as current balancing in multi-phase architecture and precise phase shifting in high-current scenarios. It will develop PMIC products for high-current application scenarios, including multi-phase controllers, DrMOS, high-current DC-DC converters, high-current PMIC, and high-voltage power supplies, providing PMIC solutions for various high-load chips/terminals such as CPUs and GPUs.

The implementation of the project will help the company seize the window of opportunity for market development, broaden its business scope, and enhance its profitability. Meanwhile, the implementation of the project is also a decision made by the company to align with national policies and industry development trends, which will help reshape the current competitive landscape of the industry and promote technological breakthroughs.

The R&D and industrialization project of automotive chips will focus on three major application fields: automotive body systems, cockpit systems, and intelligent driving systems. It will deploy five major segments: sensor chips, communication chips, driver chips, control chips, and PMIC. It will develop PMIC products with proprietary processes, high-speed transmission products, MCU (Microcontroller Unit) for body control and power systems, multi-mode sensor chips, and other products.

Upon the completion of the project's R&D, the company will significantly expand its product coverage in various automotive application fields, improve its product matrix in the automotive sector, effectively fill technological gaps, and strengthen supply chain synergy capabilities, laying a solid technological foundation for the company to tap into the incremental market space in the automotive electronics field.

The R&D and industrialization project of sensors and control chips for industrial applications aims to develop three major series of chips with independent intellectual property rights: magnetic sensors, optical sensors, and inertial sensors, as well as high-speed and high-precision digital controllers.

The construction of this project will not only help the company break foreign technological monopolies, but more importantly, enable the company to form complete technological capabilities from IC design, process design to delivery, significantly enhancing its bargaining power and customer stickiness.

Southchip stated that the company's main business remains unchanged. Instead, based on the existing main business and combined with market demand and future development trends, the company will strengthen its R&D capabilities and increase investment in key products and important research directions in its core business areas.

Upon completion and operation of the fund-raising projects, the company's product line series will be enriched and expanded, further improving the competitiveness and market share of the company's products, and driving the coordinated development of the upstream and downstream of the semiconductor supply chain.

In terms of performance, from 2022 to 2024 and January to September 2025, the company's operating revenue was RMB 1.301 billion, RMB 1.780 billion, RMB 2.567 billion, and RMB 2.380 billion, respectively; the net profit realized during the same periods was RMB 246 million, RMB 261 million, RMB 307 million, and RMB 188 million, respectively.

The 2025 annual report shows that Southchip achieved an operating revenue of RMB 3.261 billion, a year-on-year increase of 27.01%; the net profit attributable to shareholders of the listed company was RMB 239 million, a year-on-year decrease of 22.26%. The net profit attributable to shareholders of the listed company after deducting non-recurring gains and losses was RMB 200 million, a year-on-year decrease of 33.45%, mainly due to the company's increased R&D investment, an increase in the number of R&D personnel, and a significant year-on-year increase in related compensation, R&D materials, and other investments.
