Empyrean Technology Takes Controlling Stake in Easy-Logic Technology to Complete Digital EDA Chain

by xinshiye·November 3, 2026

On November 1, Empyrean Technology, a leading domestic EDA company, announced its plan to acquire up to 51% equity in its invested company, Easy-Logic Technology (Shenzhen) Co., Ltd., for no more than CNY 220 million. Upon completion of the transaction, Easy-Logic Technology will become a subsidiary of Empyrean Technology.

This move represents another substantive step in Empyrean Technology's "chain-completion" strategy in the digital EDA sector and reflects the broader trend of the domestic EDA industry shifting from single-point tool breakthroughs to full-flow ecosystem integration.

"Progressive Consolidation"

According to the announcement details, Empyrean Technology plans to transfer its held 50.3762% equity in Easy-Logic Technology, corresponding to registered capital of CNY 1.1804 million, with a total transfer price of approximately CNY 219 million, paid in installments. After the transaction, Empyrean Technology's shareholding in Easy-Logic Technology will jump from an investment position to 73.8651%, establishing absolute control.

Previously, Empyrean Technology had already laid out investments in several EDA companies including Xinhangji, Zhongke Jianxin, and Shanghai Manguang through investment channels. At the October 2026 Ecosystem Partner Conference, it signed strategic cooperation agreements with these invested companies. Easy-Logic Technology is the first target in this series of moves to transition from minority stake to controlling interest and be consolidated into financial statements, marking that Empyrean Technology's effort to fill gaps in digital EDA has moved from "collaborative synergy" to "direct operation."

Filling the Weak Link in Digital Full Flow

The core objective of Empyrean Technology's acquisition of Easy-Logic Technology is clearly stated in the announcement: "to fill the gap in digital logic optimization design EDA tools, enhance the competitiveness of the company's existing digital full-flow solutions, and build next-generation AI/3DIC digital design logic and performance optimization solutions."

To understand the significance of this statement, one must examine Empyrean Technology's current product landscape. Empyrean Technology started with full-flow tools for analog circuit design and established full-flow capabilities in storage, RF, and flat panel display fields. However, in digital design, there has long been a significant gap in tool coverage. The digital chip design flow generally includes logic synthesis, place and route, logic optimization, static timing analysis, physical verification, and DFT. Empyrean Technology had previously covered most nodes such as simulation verification, static timing analysis, physical verification, place and route, and DFT through self-research and investment, but lacked an autonomous core tool for the logic optimization stage.

Easy-Logic Technology fits precisely into this niche. Founded in January 2021, the company specializes in the R&D and sales of logic optimization EDA tools. Its core product, Easylogic ECO, an automated logic function change tool, allows for rapid correction of circuit logic functions in the later stages of chip design and supports advanced process nodes like 5nm. In the chip design flow, the value of logic optimization tools lies in completing design iterations with minimal time and resource costs, directly impacting tape-out success rates and cost control. As tape-out costs for advanced processes continue to rise and design complexity grows exponentially, the strategic weight of this stage is increasing rapidly.

From a customer validation perspective, Easy-Logic Technology's products have been adopted by nearly 100 digital chip design companies both domestically and internationally. In the EDA sector, which features high customer stickiness, having nearly 100 commercial customers means the products have completed usability verification in real production environments, which is not easy for a company founded only five years ago. Additionally, members of the Easy-Logic Technology team have won world championships in international EDA algorithm competitions multiple times, with some key technologies reaching international or domestic leading levels. The "established team" characteristic of the technical staff was a key consideration for Empyrean Technology's willingness to pay a premium for control.

On the other hand, this deal aligns with the current consolidation trend in the domestic EDA industry. Since 2026, M&A activity in the domestic EDA sector has accelerated noticeably. Primarius Electronics acquired Ruisen Chip and Naneng Micro for over CNY 2.1 billion, attempting to build an "EDA+IP" dual-engine platform. Empyrean Technology itself has also acquired Xinda Chips after its IPO, invested in Akasi, Yahong Yutian, Ruijing Juyuan, Feisilixin, and other companies, and established two industrial funds to deepen its layout.

Under the long-term monopoly of the three major overseas EDA giants on full-flow tool chains, simple stacking of single-point tools can no longer meet the design needs of advanced processes and complex SoCs. Forming platformized full-flow capabilities through M&A integration has become an inevitable choice for leading enterprises.

A Sample in the Wave of Domestic EDA Consolidation

Viewing this transaction within the coordinate system of the evolution of the domestic EDA industry, its significance transcends the strategic gap-filling of a single company.

For a long time, the domestic EDA industry has presented a "small and scattered" pattern: dozens of companies are dispersed across different tool nodes, each with limited product coverage, making it difficult to form a complete closed-loop flow. Against the backdrop where overseas giants have proven that "full flow + advanced nodes + ecosystem binding" is the core path to EDA commercial success, if domestic EDA remains at the single-point tool level, even if individual tools meet performance standards, they cannot truly support large-scale autonomous digital chip design.

Empyrean Technology's strategy involves parallel advancement of "self-developed R&D + collaborative development + M&A integration." In the digital field, the company has launched over ten commercialized tools including characterization extraction, simulation verification, static timing analysis, and physical verification. Combined with its layouts in Xinhangji, Easy-Logic Technology, and Zhongke Jianxin, the puzzle of the digital design full flow is becoming complete. However, there is an essential distance between "completing the puzzle" and "integrating the flow." The heterogeneity of tools from different sources in data models, user interfaces, and underlying architectures is the most tricky engineering challenge in integration. Whether Empyrean Technology can deeply link Easy-Logic Technology's ECO tool with its existing digital tool chain, rather than simply adding to a product list, will determine the actual quality of this acquisition.

Another dimension worth noting is customer trust. Among Easy-Logic Technology's existing nearly 100 Chinese and foreign customers, a considerable proportion may have made procurement decisions based on the neutrality and independence of its tools. When Easy-Logic Technology becomes a subsidiary of Empyrean Technology, whether some customers will reassess their procurement strategies due to concerns about competitive relationships or supply chain concentration is a variable that requires time to verify. Especially when the domestic EDA ecosystem is not yet mature enough and customer choices are limited, such concerns may be amplified.

From a more positive perspective, this transaction provides a reference sample for exit and integration for SMEs in other niche areas of domestic EDA. In an environment of slowing financing pace in the capital market and intensifying industry competition, being controlled by head platforms and incorporated into their ecosystems may become a realistic choice for more single-point tool companies. Empyrean Technology's progressive strategy of starting with minority stakes and following up with controlling interests reduces information asymmetry risks and provides a transition buffer period for target company founders. If this model is emulated by subsequent transactions, it will accelerate the progress of domestic EDA from a "Warring States" era to "oligopoly consolidation."

In Conclusion

Empyrean Technology's CNY 220 million acquisition of control over Easy-Logic Technology is a transaction with clear strategic intent and pragmatic execution paths. It fills the most obvious gap in Empyrean Technology's digital EDA full flow and provides an observable case for the ecosystem integration of domestic EDA.

However, correct strategy does not equal successful integration. The "full flow" dream of domestic EDA ultimately relies on proving that individual tools run smoothly in real chip design flows.
